These Terms and Conditions (“Terms”) apply to all sales of products and services provided by Cadabra Enterprise Limited, registered in England and Wales with company number 15680487and registered office at 19 Cocker Avenue, Poulton Industrial Estate, Poulton-le-Fylde, Lancashire, FY6 8JU. Cadabra Enterprise Limited trades as Threada(“Threada”, “we”, “us”, or “our”).
By placing an order with us, you agree to be bound by these Terms.
Definitions
Customer/you/your: The person or business placing an order.
Goods: Products or services supplied by Threada.
Order: A request by the Customer for Goods.
Contract: The agreement between Threada and the Customer, subject to these Terms.
Standard range: Products available for sale on our website, excluding customised or specially procured items.
Orders
Orders must be confirmed in writing or via our online store.
Any amendments to an Order (including design or artwork) must be made in writing. Additional costs and adjusted delivery times may apply.
Orders requiring new artwork will not commence until artwork approval has been signed by the Customer.
Threada reserves the right to reduce, amend, or cancel any Order at its discretion.
We may refuse or cancel Orders where they breach these Terms or involve inappropriate, unlawful, or offensive material.
Order Cancellations
Orders may be cancelled or modified prior to entering production. In these instances, a full refund will be issued if stock has not been allocated; if stock has already been ordered and allocated, a partial refund minus any applicable garment restocking fees will be processed within 3-5 business days to the original payment method. Please contact our customer support team with your order number as soon as possible to request a cancellation. To initiate cancellation, submit a ticket or reach out to our support team directly.
Once production has commenced, cancellations or modifications are strictly prohibited, and we are unable to provide refunds. Please note that, in some cases, production may begin on the same day the order is placed.
Pricing and Payment
Prices quoted are those available at the time of Order. Prices may vary and are subject to change without notice.
Threada makes every effort to ensure accuracy of pricing. In the event of a pricing error, we reserve the right to amend or cancel any Order, even after confirmation, and will notify the Customer as soon as possible.
Unless otherwise agreed, payment is required at the time of Order.
Corporate customers with agreed pricing contracts should liaise directly with their account manager. These Terms apply to all non-contractual Orders placed online or by phone.
All credit card payments are taken in good faith. Fraudulent usage of this facility will be immediately reported to the relevant authorities and will be taken to have broken all contract terms. Deliveries to addresses other than the card holder’s invoice address may be declined.
This website, and the pricing contained within it, does not constitute a binding contract.
If payment is overdue beyond the last day of the month following delivery, interest will accrue at 8% per annum until full cleared funds are received.
Ownership of Goods remains with Threada until full payment has been received.
Delivery
Goods are offered subject to availability.
Delivery will be deemed to take place at the Customer’s premises unless otherwise agreed.
While we make every effort to deliver on time, Threada accepts no liability for delays or late delivery.
All shortages, damage, or errors must be reported within 48 hours of delivery by phone and confirmed in writing within 3 working days.
We accept no responsibility for goods lost or damaged where the Customer requests that items be left in specified safe locations (e.g. “behind bin”).
Garment Stocking Fees
Threada operates on a sourced-to-order basis and does not hold stock. All garments are purchased specifically in line with confirmed customer orders.
Where an order is cancelled after garments have been purchased but prior to decoration, Threada reserves the right to apply a Garment Stocking Fee to recover supplier restocking charges and associated carriage costs.
Our suppliers apply a minimum restocking charge of £25 or 15% of the garment value (whichever is greater) for the return of non-faulty, undecorated goods. This charge, together with any return carriage fees, will be passed on at cost.
Threada will make every reasonable effort to minimise such costs and will only apply charges necessary to recover direct supplier fees.
Returns and Refunds
Returns are accepted within 28 days of delivery for standard range products only, provided they are in resale condition: unworn, unwashed, in original packaging, with all tags attached.
We cover return carriage where we have supplied incorrect, faulty, or damaged Goods.
Returns cannot be accepted for:
Embroidered, printed, or customised items.
Special-order or non-standard items.
Products labelled ‘non-returnable’.
We reserve the right to repair or correct faulty goods before offering a replacement or refund.
Non-compliant returns may be refused, repackaged at your cost, or returned to you.
Discounts and Promotions
Discount codes are valid for online transactions only and cannot be applied to bundles, wearer packs, or existing promotions.
Discount usage is at the sole discretion of Threada.
Artwork
All artwork must be approved by the client prior to production. Once approval has been granted, any subsequent modifications may incur additional charges. Threada does not accept liability for errors present in approved proofs that were not identified by the client at the time of approval. Clients are responsible for all costs associated with correcting such errors after proof approval.
All new embroidered logos require digitisation, which is subject to a standard digitisation fee. This fee encompasses the process of converting your logo into an embroidery file suitable for production, which we retain for future use on subsequent orders. Should you wish to obtain a copy of the digitised embroidery file (such as in DST format), a one-off release fee of £20 + VAT applies. This charge reflects the expertise and time invested in preparing the file to a commercial standard. Please note that once released, the file may be used with other suppliers but is non-refundable.
Should the client wish to request changes to the design, artwork, or any other aspect of their order, such requests must be submitted to Threada in writing. Threada will endeavour to accommodate these changes, reserving the right to levy additional charges arising from any alterations and will inform the client of these costs upon receipt of the request. Threada also reserves the right to revise the initial delivery schedule if changes are made. Orders requiring updated artwork will not commence until the revised artwork has been approved by the client. Please note, however, that once an order has entered into production, no artwork changes can be made.
Permission to Print Submitted Images
You confirm you have the rights to all images submitted and grant us permission to print and embellish them. You agree to indemnify us against any claims, liabilities, or costs arising from disputes over these rights.
Ownership of Uploaded Images
You retain all rights to images and files you upload to Threada. You can edit or delete your images at any time. Threada will use your images to make products as requested, and may also use them for promotion. To remove promotional use, contact customer service.
Ownership of Designs Generated or Displayed by Software
Using Threada’s software to create or show designs for Threada products gives Threada ownership of those designs, excluding uploaded images, to which the uploader retains legal rights. This includes any design generated by the software—such as layouts, property effects, stacking, arrangement, and alignment—as well as designs made elsewhere but uploaded to Threada.
Third Party Composite Designs
Threada software is unable to evaluate the resolution quality of individual images incorporated into composite designs created with third party applications. When a collection of images is combined in an external program such as Photoshop and then uploaded as a single .jpg file, Threada software can only assess the resolution quality of the entire flattened image. Therefore, Threada cannot assume responsibility for the resolution quality of individual elements within composites assembled using third party software.
Third-Party Integrations and Tools
Threada may provide access to third-party software and integrations, including but not limited to the Antigro gangsheet builder, for the purpose of simplifying the design and ordering process.
By using any third-party tool or integration made available through Threada, you acknowledge and agree that:
- Such tools are operated and maintained by independent providers, not by Threada.
- Threada is not responsible or liable for any errors, defects, delays, or technical issues arising from the use of third-party software.
- Any data, artwork, or content submitted via these tools is subject to the terms and conditions, privacy policies, and operational standards of the respective third-party provider.
- By using a third-party integration, you agree to comply with that provider’s terms of use and accept that any disputes or issues relating to the use of such tools should be directed to the provider in question.
Threada will, wherever possible, offer reasonable support in resolving issues affecting the order process but cannot be held liable for any direct or indirect loss resulting from the use of third-party platforms.
Product Information
Colours displayed online may differ from actual garments.
For sizing, please refer to our sizing guide. Sizes guides are provided directly from the garment manufactures, Threada assumes no liability for the accuracy.
Products advertised as “no VAT” are subject to qualifying conditions. It is the Customer’s responsibility to declare correct use at the time of order.
Embellishment of your ‘Own Supply’ items
We can only embellish your own items on the strict understanding that such work is undertaken entirely at your own risk. If you have any doubts about this, please do not ask us to work on your goods.
Please note that, while every care is taken with your goods, embroidery is a mechanical process and there is a very small chance of damage occurring to items being embroidered, although such occurrences are very rare indeed.
Customers supplying their own goods * for embroidery and printing are advised that embroidery is a mechanical process and that there is a very small risk of damage to those goods. Cadabra Enterprise Limited will only accept such goods on the strict understanding that:

They are in a clean state and free of animal hairs and/or other impurities which might be hazardous to personnel or machinery.
- Embroidery and Printing of such goods is undertaken entirely at the customer’s own risk. To the fullest extent permitted at law neither Threada or Cadabra Enterprise Limited nor any person employed by or connected with Cadabra Enterprise Limited will be liable for damages of any kind. This is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation), compensatory, direct, indirect or consequential damages, loss of data, income or profit, of or damage to property and claims of third parties.
- For the purposes of these terms “own goods” means any item of textile intended for embroidery, which is the property of a third party and which was not supplied to the third party by Cadabra Enterprise Limited.
- Submission of goods for embroidery indicates acceptance of these terms in full.
Intellectual Property
All website content, including text, images, graphics, logos, and product descriptions, remain the property of Threada or its licensors.
Customers may not reproduce, copy, distribute, or use such content without written consent.
We reserve the right to reject any Orders containing offensive, unlawful, or copyrighted material unless you have authorisation.
Liability and Indemnity
Threada shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, business, or goodwill.
No liability will be accepted for late or delayed delivery of Goods.
Nothing in these Terms limits or excludes liability where unlawful to do so, including liability for death or personal injury caused by negligence.
To the fullest extent allowed by law, Threada is not liable for any lost revenue, profits, data, or for special, indirect, consequential, incidental, or punitive damages arising from the use or inability to use Threada or content posted on it, even if advised of potential damages.
Threada Variance Policy
Given the nature of custom products and printing, our proof disclaimer notes a standard +/- 10% tolerance for color, size, quantity, and weight.
Threada’s Price Match Guarantee
To request a Price Match please email sales@threada.com
- The Price Match Guarantee applies solely to orders that align with the quantity bands listed online at Threada.com for the identical product being considered for price matching. Only products for which the service is specifically advertised online are eligible.
- The item must match the quoted product exactly in all specifications, including but not limited to size, weight, colour, material, finishes, quantity, shipping and delivery details, lead times, and terms.
Only one price match per identical item per customer is permitted. At the time of the price match request, the lower-priced item must be in stock, available for delivery within the same timeframe, verifiable as valid, and substantiated with supporting evidence.
Prices must correspond to the relevant currency shown and items must be shipped to the same address as indicated in the lower-priced quotation.
We reserve the right to verify both the price and item availability and, as applicable, your eligibility to purchase from the competitor.
We retain the authority to refuse any price match request where fraud or unauthorized reseller activity is suspected.
- Acceptance or denial of a price match application is at Threada’s full discretion and will be determined on a case-by-case basis.
Exclusions from our price match guarantee include:
- Bundle offers, instant rebates, mail-in offers, and any promotions involving financing.
- Credit card-related offers.
- Free items, buy-one-get-one-free promotions, and gift-with-purchase offers if the retail price is not displayed in the advertisement.
- Typographical or other pricing errors.
- Prices related to services (including free or discounted shipping and delivery fees).
- Trade prices, membership or subscription-only prices, or prices from third-party marketplace sellers.
- Category-wide or storewide discounts.
- Any additional exclusions Threada may identify at its sole discretion.
Force Majeure
Threada is not liable for any delay or failure to perform where caused by events beyond our reasonable control, including but not limited to strikes, transport disruption, natural disasters, supply chain shortages, pandemics, or government restrictions.
Termination / Refusal of Service
We reserve the right to terminate any Contract or refuse service if:
- The Customer breaches these Terms.
- Payment is not received.
- The Order is deemed inappropriate, unlawful, or offensive.
Termination does not affect rights or obligations already accrued.
Written Communications
By using our website or services, you agree that all communication will be electronic. We may contact you by email or post notices online. You accept that electronic communications meet any legal requirement for written correspondence.

Governing Law
